1. What Lay The Terms does
Lay The Terms helps users read, summarise, compare, and understand contracts, terms of service, privacy policies, leases, subscriptions, employment contracts, NDAs, and other documents using automated tools and artificial intelligence.
The service provides educational and informational analysis only. It is not a substitute for legal, financial, or professional advice.
2. Not legal advice
Lay The Terms does not provide legal, financial, or professional advice. Reports are educational and informational only. Users should seek independent professional advice before relying on a report for important legal, business, financial, or personal decisions.
AI-generated reports may be incomplete, incorrect, outdated, or misinterpret the document. The service may miss clauses, overstate risks, or classify terms differently from a lawyer, regulator, court, or professional adviser.
3. Who can use the service
You must be at least 18 years old or have the consent of a parent or guardian to use Lay The Terms. You must have the legal right to upload and analyse any document you submit.
4. Account responsibilities
You are responsible for maintaining the security of your account credentials. You must not share your account access with others or allow unauthorised use.
5. What you can upload
You may upload contracts, terms of service, privacy policies, leases, subscriptions, and other documents that you have the right to review. You retain ownership of everything you upload.
We recommend removing unnecessary personal, financial, medical, identity, or highly sensitive information before uploading documents.
6. What you cannot upload or do
You must not use Lay The Terms to:
- Upload content you do not have the right to process.
- Upload illegal, harmful, abusive, infringing, or malicious content.
- Attempt to interfere with the service, bypass security, or overload the platform.
- Extract system prompts, scrape reports at scale, or reverse engineer the service.
- Use the service to commit fraud, harassment, discrimination, or illegal surveillance.
7. Licence to process uploads
You grant Lay The Terms a limited licence to process uploaded content solely to provide, secure, debug, improve, and support the service. This licence ends when you delete the content or close your account, subject to backup and log retention limits.
8. Payments, subscriptions, and credits
Paid plans and Deep Report Credits are billed through Stripe. Subscription plans renew automatically until cancelled. You can cancel before your next billing date.
Prices are shown in AUD unless stated otherwise. Cancelling stops future renewals but does not automatically refund already-used Quick Reviews or Deep Report Credits.
9. Refunds
Refund requests are assessed fairly and in accordance with Australian Consumer Law.
Refunds may be available if:
- The paid report fails to generate.
- You are double-charged.
- The service materially malfunctions.
- You bought the wrong plan and contact support quickly.
If a Deep Report Credit is consumed but the report fails to generate because of a service error, we may re-credit the Deep Report Credit or provide a refund where required.
Refunds are not usually available if:
- You simply dislike an AI interpretation.
- You have used all credits.
- You expected legal advice.
- You ignored the AI disclaimer.
10. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot legally be excluded under Australian Consumer Law.
11. Intellectual property
Lay The Terms owns the software, branding, methodology, and report formatting. You own your uploaded documents and the right to use your generated reports for personal or internal business purposes.
12. Service availability
We aim to keep Lay The Terms available, but do not guarantee uninterrupted access. Maintenance, updates, and outages may occur.
13. Liability limits
To the maximum extent permitted by law, Lay The Terms is not liable for any loss or damage arising from your use of the service, except where such exclusion is not permitted by Australian Consumer Law.
14. Suspension and termination
We may suspend or terminate access if you breach these Terms, abuse the service, or create legal or security risk. Where practical and safe, we will provide notice and an opportunity to resolve the issue before suspension or termination. You may close your account at any time.
15. Changes to these Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated date. For material changes, we will provide reasonable notice where practical before the change takes effect. Continued use of the service after changes means you accept the updated Terms.
16. Governing law
These Terms are governed by the laws of New South Wales, Australia. Any disputes will be resolved in the courts of New South Wales.
